CFS Prodotti Medicali S.r.l.

These General Terms and Conditions of Sale apply to purchases of products made available via the website www.cfs.it, as well as products not yet codified but available for purchase via direct request sent by email or fax to CFS Prodotti Medicali S.r.l. This refers to purchases made by Consumers and/or professional Buyers via the e-commerce platform located on the aforementioned webpage, or by purchase request via telephone, fax, or email to the contact details indicated on the site.

These conditions comply with current national legislation regarding consumer matters (Legislative Decree no. 206/2003 and subsequent amendments) and electronic commerce (Legislative Decree no. 70/2003 and subsequent amendments).

The User accessing the site to make purchases, or contacting the seller directly by phone, fax, or email, is required, prior to order confirmation, to carefully read these General Terms and Conditions, which are made available on the Provider's webpage and are always viewable; these Conditions are considered accepted at the moment the User proceeds with the purchase.

The seller and owner of the site is CFS Prodotti Medicali S.r.l., in the person of its legal representative pro tempore, with registered office in via G.B. Guarini, 58 - 57121 Livorno (LI), VAT no. 01883060491 (hereinafter the "Provider"). The Provider acts in the exercise of its entrepreneurial and commercial activity and promotes the sale of its products through distance contracts;

the professional Buyer is a freelance professional or a legal entity that, through an appointed and authorized natural person, purchases via the website's e-commerce platform or directly via telephone, fax, or email (hereinafter "Professional Customer");

the Consumer is the natural person acting for personal and non-professional purposes, unrelated to any entrepreneurial, commercial, craft, or professional activity, as defined by the Consumer Code;

the User is the visitor to the site, or anyone contacting the seller by phone, fax, or email to proceed with a purchase; the notion includes both the Consumer and the professional Buyer.

The sale concerns both products made available via the internet and viewable by accessing the site www.cfs.it, regardless of stock availability, and products not yet codified, present in the warehouse and available for sale, which can be purchased via direct order by fax or email.

The contract is concluded following the Provider's sending of an order confirmation email.

In the case of online sales, the User must register and create an account, using a valid email address (essential for proceeding with the order) and a password. In the case of already registered Users, account access occurs by entering the registration data.

The contract is understood to be concluded at the moment the User receives the confirmation email from the seller, sent to the email address provided by the Consumer/Professional Customer; the latter must keep the message received as it contains the identification details of the order.

In the case of telephone sales, the User can ask the operator to access their account already registered on the website, by providing the registration data, or request the creation of a new account. In the latter case, the identification data necessary for the creation of the user profile are collected and a password is communicated, which must be changed upon the first online access. Once the payment method is communicated, the operator asks the User for confirmation of their intention to proceed with the purchase; the latter is finalized upon a positive response.

Finally, in the case of direct sales via fax or email, the procedure is completed with the request for billing data and the sending of an order confirmation email. The latter will be processed only after the seller receives the confirmation signed by the User for acceptance.

Information and characteristics related to the products are available on the site; CFS Prodotti Medicali S.r.l. is committed to describing and presenting the sold items accurately; however, the technical sheet and images of a product may not be complete and exhaustive of the relative characteristics or may be subject to changes by the manufacturer.

The term “available” for the selected product is purely indicative; the actual availability refers to the moment in which the User places the order, but this availability must be considered approximate, as products may be sold to other customers before the confirmation of the order itself (due to the simultaneous presence of multiple users on the site), or a computer anomaly may occur, making a product available for purchase that is not actually in stock due to, for example, the expiration of warehouse storage terms or as a consequence of the passage of time in the event that non-immediate payment methods are chosen (e.g., advance bank transfer, financing, renting, etc.). For this reason, CFS Prodotti Medicali S.r.l. reserves the possibility, upon receipt of the order, to verify the availability of the item and, if lacking, to communicate as soon as possible an update on the new expected delivery times, or to identify a solution in agreement with the customer.

In the case of direct sales, it is conversely the duty of the telephone operator or customer service to inform the User regarding the availability of the requested product.

All product sale prices are expressed in Euro and are exclusive of VAT, which is calculated at the moment of product selection and its addition to the “shopping cart”, or communicated by the telephone operator or in the response email to quotation requests.

Shipping costs are not included in the price, except for some products for which free shipping is provided as indicated in the technical sheet uploaded to the site, and the transport cost is calculated based on the total amount of the ordered items; in online sales, the total price is visible after adding at least one product to the cart. Delivery to the floor is not provided and cannot be requested during the ordering phase.

The choice regarding the payment method for the order must be made before proceeding to confirm the purchase.

Products purchased by the User can be paid for alternatively by:

• Credit Card (Shopify Payments). Once the order is confirmed, the User can pay by credit, debit, or prepaid card. Online card payments are managed by Shopify Payments through a secure protocol with advanced encryption, compliant with the PCI-DSS Level 1 standard and with 3D Secure fraud protection. Visa, Mastercard, and American Express are accepted, in addition to quick payments via Apple Pay, Google Pay, and Shop Pay. CFS never has access to card data.
• Klarna - Installment (3 installments). With Klarna, it is possible to split the order amount into 3 installments without interest and without additional costs, directly at checkout by selecting Klarna as the payment method.
• Paypal - Credit Card. Once the order is confirmed, the User can make the payment either with their account or, alternatively, using a credit/debit card, including prepaid ones; otherwise, they can choose other methods accepted by PayPal in compliance with the relative conditions. This method can also be selected without prior registration for the PayPal service.
• Advance bank transfer. In order to maintain the priority of processing the order, payment via advance bank transfer must be made via INSTANT transfer.
  The shipment of the goods will take place exclusively after the actual crediting of the amount due to the bank account of CFS Prodotti Medicali S.r.l.
  The payment must be credited within 72 hours of order confirmation. In the absence of credit within this deadline, the order will be automatically cancelled.
  The reason for the bank transfer must include the order number and the customer's name. It is not necessary to send a copy of the bank transfer.

• Cash on Delivery (COD). At the time of delivery of the ordered goods, the User pays the sum directly to the courier IN CASH (the courier usually does not have change).
  The maximum order amount for cash payments payable to "CFS Prodotti Medicali S.r.l." is set at € 500.00 including VAT. For amounts exceeding € 500.00 up to a maximum of € 3,000, please send a request by filling out the contact form or contact Customer Support at 0586 444369.
  To request payment by cashier's check payable to "CFS Prodotti Medicali S.r.l.", a formal written request is required at the email address: amministrazione@cfs.it accompanied by a digital scan of the completed check (response times are usually 1-3 days).
• Installment payment. Only for Consumers is it possible to request financing with “Heylight”. Heylight is an online payment method that allows purchasing products quickly and securely, using credit cards, debit cards, or other digital systems supported by the platform.
• Renting - term rental. This is a payment method offered only to Professional Customers with a VAT number for at least 2 years. Thanks to the operating lease service offered by Grenke (www.grenke.it), it is possible to dispose of the goods against the periodic payment of fees, without acquiring ownership. The value of the “cart” (i.e., the total value of the products for each individual order) must be greater than 500.00 Euros + VAT. To access financing, simply identify the desired products, choose the Renting payment method, complete the order request, and wait for our first contact to proceed with the filing of the application.
• Bank receipt 30 days. To enable this payment method, it is necessary to send a written request containing personal data and bank details solely and exclusively via email: amministrazione@cfs.it. Normally, the process can take a response time of 1-3 days and in the event of a positive outcome, the CFS Administration will communicate the result, enabling the new payment method.
• Cash on pickup. Service available only for pickup of goods at the warehouse of CFS Prodotti Medicali S.r.l. located at via G.B. Guarini no. 58, Livorno. Delivery must be agreed upon with the seller, who sends a specific communication to the User.

The data provided by the User at the time of the order is entered into the invoice; the latter is issued in electronic format at the time of shipment of the products from the warehouse and is made available within the Customer Area. No paper invoice mailing service via ordinary mail or inside the package is active. This message contains the data entered by the Consumer/Professional Customer; the latter is responsible for checking them and must promptly communicate any corrections.

To avoid misunderstandings, all requests for changes/variations to uninvoiced orders must be submitted in writing (email or fax) and not by telephone or verbally; they must arrive in time for the change (which cannot be guaranteed due to possible reading and reception misalignments) and will no longer be allowed after the closing of the order notified by CFS Prodotti Medicali S.r.l.

Products are delivered throughout the national and European territory by courier. The delivery of ordered products has a variable time. To know the delivery times in detail, we invite you to consult the site www.cfs.it in the “delivery times” section. Shipments outside of Italy are subject to a different cost compared to that provided for delivery in the national territory, as well as different shipping times; the relative information is provided to the User following their written request sent via email.

It is the User's responsibility to provide all the information necessary for the execution of the service, as well as to verify that the information on the order is correct and complete. Upon receipt of the material and before signing the document for the courier delivering the goods, it is necessary to carefully verify that the number of packages delivered is consistent with those mentioned on the delivery document and that the physical state of the packages does not present tampering.

For any problem encountered, sign "received with reservation", describing the reason directly on the delivery document (e.g., accepted with reservation for missing package, for crushed, broken packages, or broken cardboard, etc.).

CFS Prodotti Medicali S.r.l. carries out quality checks on its products in order to guarantee their integrity and validity. In the event that the User receives defective products or products not compliant with the orders placed (possibly due to factory defects), the Provider declares itself responsible, in accordance with the provisions of national legislation.

With respect to purchases made by the Consumer, a warranty of 24 months from the product delivery date is provided, and it is necessary for the buyer to submit a formal complaint regarding the defects within 2 months from the discovery of the defect and for the product to have been used correctly, in compliance with its intended use and as provided in the attached technical documentation.

In reference to purchases finalized by the Professional Customer, the warranty provided by the seller is 12 months from the date of delivery of the goods, and any defects must be communicated to the Provider within 8 days of their discovery; this warranty can only be activated if the product is used correctly, in compliance with the uses for which it is intended.

Indeed, with the exception of cases relating to the replacement of defective and non-compliant products, the supplying company assumes no responsibility for direct and indirect damages that may derive from the use, even improper, of the product by the recipient.

In all cases of lack of conformity (e.g., unsuitability for the use for which goods of the same type are habitually used, lack of the same quality compared to a sample or similar model, unsuitability for the particular use desired by the User and declared by the seller, etc.), CFS Prodotti Medicali S.r.l. provides, at its own expense, for the restoration of the product via repair/replacement. In the event that for any reason it is unable to return a restored or replaced product under warranty to the User, the seller proceeds to refund the entire amount paid, or to replace the product with another having characteristics equal or superior. It is possible that repairs or replacements may also take place through the use of refurbished parts or products which, while not necessarily equal to the defective products contained in the original supply, are nonetheless equivalent or slightly superior to new parts and products in terms of functionality, performance, and aesthetics. Finally, in case of difficulty in returning a product that presents characteristics equal or superior to the defective one, CFS Prodotti Medicali S.r.l. issues a credit note and refund in favor of the User of a value equal to the current market price of the product itself.

To obtain the repair/replacement of the purchased product, the User must have the item delivered to the headquarters of CFS Prodotti Medicali S.r.l. located at Via G.B. Guarini 58 - Livorno (LI) or can choose to use the warranty by requesting Technical Assistance. In the latter case, it is necessary to open a ticket in the appropriate section of one's online profile, and the customer service department will send, via email, the return number (RMA) with all the indications for packaging and shipping. In case of telephone contact, our technical assistance is available Monday to Friday from 9:00 to 12:30.

Please be advised that the shipping costs of the defective or non-compliant good to and from CFS Prodotti Medicali S.r.l. are borne by the Customer and that, if the received product appears tampered with, or the labels that identify the Serial or Part Number are removed or tampered with, CFS Prodotti Medicali S.r.l. reserves the right to judge the validity of the Warranty.

Furthermore, all shipments of products will be returned to the sender at their expense if they:

• do not include original packaging, accessories, and manuals
• are received with unsuitable or inadequate external packaging and are therefore damaged during transport
• are damaged due to the failure to use the original packaging and adequate external protective safety packaging, and were not authorized by the Support Center

Without prejudice to the above, any right of the User to damages or compensation is excluded, as is any contractual or non-contractual liability for direct or indirect damages to persons and/or property.

Pursuant to articles 52 and following of the Consumer Code (Legislative Decree 206/2005), the consumer has the right to withdraw from the purchase contract without providing any reason within 14 days of delivery of the products.

A consumer is defined as a natural person who purchases for purposes unrelated to their business, commercial, craft, or professional activity.

Deadline for exercising the right of withdrawal

The withdrawal period expires after 14 days:

• from the day on which the consumer, or a third party designated by them other than the carrier, acquires physical possession of the goods;
• in the case of delivery of multiple goods ordered in a single order and delivered separately, from the day on which the last good is delivered.

Procedures for exercising the right of withdrawal

To exercise the right of withdrawal, you can use the specific online form available in the dedicated area of the site.

Filling out and submitting the form constitutes explicit notification of the intent to withdraw from the contract.

Once the request is received, CFS Prodotti Medicali S.r.l. will send a confirmation of receipt to the e-mail address provided by the customer.

Return of products

After exercising the right of withdrawal, the consumer is required to return the goods within 14 days of the withdrawal notice.

The costs for returning the goods are borne by the consumer, unless otherwise indicated by CFS Prodotti Medicali S.r.l.

Condition of returned products

The consumer may examine and test the product to the extent necessary to verify its nature, characteristics, and functioning, just as they would in a physical store.

The consumer is responsible for any diminution in the value of the goods resulting from handling other than what is necessary to establish their nature, characteristics, and functioning.

The lack of original packaging does not automatically result in the loss of the right of withdrawal, without prejudice to the obligation to return the product adequately protected for transport.

Refund

In the event of exercising the right of withdrawal, CFS Prodotti Medicali S.r.l. will refund all payments received from the consumer, including any standard delivery costs incurred for the purchase.

The refund will be made within 14 days of receipt of the withdrawal notice using the same payment method used for the initial transaction, unless otherwise agreed with the consumer.

CFS Prodotti Medicali S.r.l. may withhold the refund until receipt of the goods or until the consumer has provided proof of having shipped them, whichever is earlier.

Exclusions from the right of withdrawal

Pursuant to Art. 59 of the Consumer Code, the right of withdrawal does not apply, among other cases provided for by law:

• to sealed products that are not suitable for return for hygiene or health protection reasons and have been opened after delivery;
• to goods made to measure or clearly personalized;
• to other cases expressly provided for by Art. 59 of the Consumer Code.

Competent court

For any dispute regarding the interpretation, execution, validity, or termination of the contract, the court of the place of residence or domicile of the consumer shall have jurisdiction, provided they are located within the territory of the Italian State, in accordance with current legislation.

Every purchase is subject to and governed exclusively by the General Conditions of Sale in force at the date the contract is finalized, i.e., the conditions applicable at the time the User interacts with the platform or orders products via telephone and makes payment; CFS Prodotti Medicali S.r.l. reserves, in fact, the right to modify the rules governing these General Conditions, as well as the economic terms applied thereto. Any changes unfavorable to the User will in any case be communicated via email to the last address indicated by the latter; the User may, within 15 days of receiving the relevant communication, withdraw from the contract. Otherwise, the changes will be deemed accepted.

Furthermore, in the event that some provisions of these General Conditions of Sale are declared void or invalid, the validity and effectiveness of the other provisions contained therein shall not be affected, and they shall remain fully valid and effective.

CFS Prodotti Medicali S.r.l. assumes no responsibility for disruptions attributable to force majeure or unforeseen events, including those dependent on malfunctions and disruptions of the internet network, if it is unable to execute the order within the times provided by the contract.

The personal data provided by the User during the purchase of products are processed in compliance with and in accordance with the provisions of current national and European privacy legislation; the processing takes place taking into account the principles of lawfulness, transparency, fairness, and protection of the User's privacy and rights as better specified in the full version of the privacy policy, available on the website www.cfs.it by "clicking" on the "privacy policy" link.

These Conditions of Sale are governed by and interpreted in accordance with Italian law.

Any dispute relating to the validity, effectiveness, interpretation, or execution of each contract as well as, in general, relating to the User's navigation on the site, in the event that an amicable solution is not found, shall be resolved exclusively by the Italian judicial authority; in particular, if the User qualifies as a Consumer, jurisdiction shall be determined based on the latter's place of residence or domicile, if located within national territory.
